Effective Date: March 30, 2026

These Terms & Conditions (“Terms”) govern participation in the Pinch Premium Membership Program (“Membership”). By enrolling, you agree to these Terms.

IMPORTANT AUTO-RENEWAL DISCLOSURE

THIS MEMBERSHIP INCLUDES A SIX (6) MONTH MINIMUM COMMITMENT (BILLED MONTHLY) AND AUTOMATIC MONTHLY RENEWAL THEREAFTER.

After the initial six (6) month term, your Membership automatically renews on a month-to-month basis unless canceled.

You authorize Pinch to charge your payment method on file each month until canceled in accordance with these Terms.

You may cancel after the six-month minimum term by emailing Pinch or through your online account.

1. MEMBERSHIP FEE

Members agree to pay a recurring fee of $75 per month (“Membership Fee”).

The Membership Fee:

• Is automatically billed;
• Is charged regardless of usage;
• Continues until properly canceled;
• Is non-refundable except where required by law.

Initial billing occurs at enrollment and monthly thereafter.

2. AUTOMATIC RENEWAL & PAYMENT AUTHORIZATION

By enrolling, you:

1. Authorize recurring monthly charges to your payment method;
2. Acknowledge the six-month minimum commitment;
3. Agree that the Membership renews automatically until canceled;
4. Authorize charges without additional approval each cycle.

You authorize Pinch to charge any updated or replacement payment method issued for your account.

If your payment method is removed and not replaced, Membership may be paused or terminated.

Pinch may retry declined transactions.

3. MEMBERSHIP CREDITS

100% of each Membership Fee is credited to your internal ledger (“Membership Credits”).

Credits:

• May be used for Pinch treatments only;
• May not be used for retail products, eCommerce, or gift cards;
• Have no cash value;
• Are non-transferable;
• May not be redeemed for cash.

The first month’s payment may offset the initial visit.

4. MEMBER PRICING

Members receive:

• Preferred pricing of $10 / unit of Xeomin
• 10% off other eligible treatments

Discounts apply only while Membership is active.

Promotions:

• Apply to the standard, non-member price.
• May not be stacked on top of preferred member pricing unless expressly permitted.

Pinch may offer member-only promotions at its discretion.

5. MINIMUM TERM

Membership requires a six (6) month minimum commitment.

After six months, Membership converts to month-to-month.

6. CANCELLATION

After the initial six months, Members may cancel at any time by:

• Emailing clients@pinchmed.com, or
• Canceling through their online portal.

Cancellation becomes effective at the end of the current billing cycle.

Confirmation of cancellation will be provided.

7. NO REFUNDS

Membership Fees are non-refundable.

Unused Membership Credits:

• Remain in your account after cancellation for a period of twelve (12) months following the date of cancellation or as otherwise required by law;
• May be applied to future services at standard pricing; and
• May not be transferred, refunded or converted to cash.

Failure to use credits does not entitle Member to a refund.

8. CHARGEBACK & PAYMENT DISPUTE POLICY

Before initiating any chargeback or payment dispute with a financial institution, Member agrees to contact Pinch at clients@pinchmed.com to attempt resolution.

Initiating a chargeback without first contacting Pinch may constitute a breach of these Terms.

If a chargeback is initiated for a valid recurring charge:

• Pinch reserves the right to suspend Membership;
• Pinch may recover the charged amount, administrative fees, and any bank-imposed penalties to the extent permitted by law;
• Unused Membership Credits may be voided.

Members acknowledge that recurring charges are authorized under Section 2 and that disputing properly authorized charges may result in account restrictions.

9. MODIFICATION

Pinch may modify pricing, benefits, or Terms.

Pinch reserves the right to adjust the Membership Fee upon thirty (30) days’ written notice or as otherwise required by law.

Continued participation in the Program after the effective date constitutes acceptance of the new Fee.

10. TERMINATION BY PINCH

Pinch reserves the right to suspend or terminate any Membership at its sole discretion, with or without cause, including but not limited to instances where Pinch determines that a Member is engaging in fraud, abuse, threatening conduct or violating these Terms.

Termination does not entitle Member to refunds.

11. DISPUTE RESOLUTION & ARBITRATION AGREEMENT

PLEASE READ CAREFULLY — THIS AFFECTS YOUR LEGAL RIGHTS.

11.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Membership shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration shall be conducted on an individual basis.

11.2 Class Action Waiver

You agree that any dispute shall be conducted solely on an individual basis.

You waive any right to:

• Participate in a class action,
• Act as a class representative,
• Participate in a class arbitration.

11.3 Jury Trial Waiver

You and Pinch waive the right to a trial by jury in any action arising from these Terms.

11.4 Venue

If arbitration is deemed unenforceable, the exclusive venue shall be in the state and federal courts located in Illinois.

11.5 Small Claims Exception

Either party may bring an individual claim in small claims court where permitted by law.

11.6 Survival

This arbitration provision survives termination of Membership.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Pinch shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from Membership participation.

Total liability shall not exceed the total Membership Fees paid in the twelve (12) months preceding the claim.
